Your rights and obligations concerning your purchase and/or use of the products, services, information, or software offered by us are governed by the terms of your agreement, including, but not limited to, your Governing Terms, Master Agreement, Product License Agreement, Order or Order Schedule or other written agreement with Stroll Shop Dine as may be applicable. These Terms of Use do not override any applicable legal requirements relating to the collection, transfer, and use of your personal or proprietary information. Certain locations have specific legal requirements relating to how we can collect, transfer and use the information we collect about you during your use of the Stroll Shop Dine Site. Where such additional legal requirements apply, we will comply with applicable legal requirements.

By using the Stroll Shop Dine Site, you agree to these Terms of Use. If you do not agree to these Terms of Use, you may not use the Stroll Shop Dine Site.

Ownership; Intellectual Property; Proprietary Rights 

The services, including, but not limited to, data, articles, blog posts, content, information, products, software and programs, available on or through the Stroll Shop Dine Site (collectively “Service”) are the proprietary, copyrighted works of Stroll Shop Dine and comprise: (i) works of original authorship, including compiled information containing Stroll Shop Dine's selection, arrangement and coordination and expression of such information or pre-existing material it has created, gathered or assembled; and (ii) trade secret and other confidential information.


Stroll Shop Dine, the SSD logo, logos of Stroll Shop Dine affiliates and subsidiaries, and the names and content of Stroll Shop Dine products referenced in a Stroll Shop Dine Site are either trademarks, service marks, registered trademarks, copyrights or other intellectual property of Stroll Shop Dine. Other products and company names mentioned in a Stroll Shop Dine Site may be the intellectual property of their respective owners. You may not use any SSD intellectual property without the consent of Stroll Shop Dine. Except as noted herein, you are not conveyed any right or license by implication, estoppel, or otherwise in or to any SSD or the intellectual property of any third party.

You acknowledge and agree that by providing Stroll Shop Dine with any personal or proprietary information through the Stroll Shop Dine Site, you consent to the lawful transmission of such personal or proprietary information over international borders as necessary for processing in accordance with Stroll Shop Dine's standard business practices and the Stroll Shop Dine Privacy Policy.  

By posting your content you are granting Stroll Shop Dine, to the extent lawfully permissible,  a non-exclusive, royalty-free, perpetual, and worldwide license to use your content and your association to such content in connection with the operation of the Services, including, without limitation, the license rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, modify, delete, translate and reformat your content, and/or to incorporate such content and your association with such content into a collective work, which may include name and likeness.

To the extent lawfully permissible, you acknowledge, consent and agree that Stroll Shop Dine shall also have the right to access, preserve and disclose your account information and content if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce these Terms; (c) respond to claims that any content violates the rights of third parties; (d) respond to your requests for customer service; or (e) protect the rights, property or personal safety of Stroll Shop Dine, its users and the public.

To the extent lawfully permissible, you grant Stroll Shop Dine permission to use your name for attribution purposes. You, likewise, agree to represent yourself accurately. You acknowledge that misrepresentation may lead Stroll Shop Dine, at its sole discretion, to cancel your use of the Services and delete any of your content.

You will be responsible for the content of any material you enter on the Stroll Shop Dine Site. Stroll Shop Dine retains the right, which it may or may not exercise in its sole discretion, to review, edit or delete any material that Stroll Shop Dine deems to be illegal, offensive or otherwise inappropriate. 

You understand that the technical processing and transmission of the Stroll Shop Dine Site, including your Content, may involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.

Use Restrictions; Suspension; Termination;

You agree not to reproduce, copy, retransmit, distribute, disseminate, sell, sub-license, publish, broadcast, or circulate the information received through the Service to anyone without the express prior written consent of Stroll Shop Dine. You may not: (a) use or permit the use of the Service to prepare an original database or a comparison to other databases that are sold, rented, published, or furnished in any manner to a third party; (b) use or permit the use of the Service for the purpose of compiling, enhancing, verifying, supplementing, adding to, or deleting from any mailing list, business directory, or other compilation of information that is sold, rented, published, or furnished in any manner to a third party; (c) use or permit the use of the information in connection with any individual credit, employment, or insurance applications; or (d) voluntarily produce the Service in legal proceedings without Stroll Shop Dine’s prior written approval. Systematic access or extraction of content from this Stroll Shop Dine Site, including the use of “bots” or “spiders,” is prohibited. Stroll Shop Dine prohibits caching, unauthorized hypertext links to this Stroll Shop Dine Site and the framing of any content available through the Stroll Shop Dine Site. Stroll Shop Dine reserves the right to disable any unauthorized links or frames.

Access to and use of password protected and/or secure areas of this Stroll Shop Dine Site is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the Stroll Shop Dine Site may be subject to prosecution.

No part of the Stroll Shop Dine Site may be reproduced, modified, or distributed in any form or manner without the prior written permission of Stroll Shop Dine; provided no such permission is necessary in connection with the fair use of excerpts of freely available (i.e., available to any visitor to the Stroll Shop Dine Site without any requirement of registration or payment of fees) factual information on the Stroll Shop Dine Site regarding descriptions of Stroll Shop Dine and its products and services.

 

User Warranties and Indemnification

 

By submitting content for any listing, you warrant that you either own or otherwise control all of the rights to that content, including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the content, or that your use of the content is a protected fair use. You agree that you will not knowingly and with intent to defraud provide material and misleadingly false information. You warrant also that the content you supply does not violate these Terms of Use, and that you will indemnify and hold Stroll Shop Dine and its organizers harmless for any and all claims resulting from content you supply.

 

General Disclaimers; Disclaimer of Warranties and Liability

BY ACCEPTING THE TERMS OF THIS AGREEMENT, YOU EXPRESSLY AUTHORIZE STROLL SHOP DINE TO CONTACT YOU IN ANY LAWFUL MANNER, INCLUDING WHERE LEGALLY PERMITTED THROUGH THE USE OF AUTOMATIC AND/OR COMPUTERIZED DIALING SYSTEMS AND PRE-RECORDED MESSAGE AND CALL TECHNOLOGIES, AND FOR ANY LAWFUL PURPOSE, INCLUDING, BUT NOT LIMITED TO, ACCOUNT SUPPORT OR TO INFORM YOU OF OR PROMOTE OR MARKET STROLL SHOP DINE PRODUCTS AND THIRD PARTY SERVICES WHICH STROLL SHOP DINE BELIEVES MAY BE OF INTEREST TO YOU, AND YOU HEREBY UNAMBIGUOUSLY AGREE AND EXPRESSLY CONSENT TO RECEIVE SUCH MAILERS, EMAILS, TEXTS AND TELEPHONE CALLS.
